Plactive Seller Agreement
This Seller Agreement (“Agreement”) is made between Plactive Private Limited (“Plactive,” “we,” “our,” or “us”) and you (“Seller,” “you,” or “your”). This Agreement governs your use of Plactive’s marketplace platform for the sale of products.
By registering as a Seller on Plactive and listing products for sale, you agree to the following terms and conditions:
1. Seller Registration & Onboarding
1.1. Account Creation
To use Plactive as a Seller, you must complete the registration process, providing accurate and complete business information, and upload necessary documents as per required during the registration process.
1.2. Verification
Plactive reserves the right to verify the authenticity of the information provided by you. You agree to comply with any further verification processes if requested.
2. Product Listing & Standards
2.1. Product Listings
You are responsible for creating product listings on Plactive, including product descriptions, prices, and images. All products must comply with Plactive’s listing guidelines and must not violate any intellectual property rights or other laws. By signing the agreement you confirm that you have read the Seller Terms and Condition for user policy
2.2. Prohibited Items
You agree not to list any items that are prohibited by Plactive’s policies, such as tobacco products or illegal goods. Plactive reserves the right to remove any prohibited listings without notice. By signing the agreement you confirm that you have read the List of Prohibited items.
2.3. Quality & Authenticity
All products listed must be authentic and meet the quality standards agreed upon during registration. Sellers must ensure products are free from defects and are compliant with applicable laws and regulations.
3. Pricing & Payments
3.1. Pricing
Lowest Price RequirementWe encourage Sellers to list the lowest possible price for their products on Plactive, ensuring that the prices—including any discounts, coupons, or offers—are not higher than what is available on any other platform or marketplace. Plactive values being a best-price website, and Sellers are expected to update their offers and prices regularly to reflect the lowest available price. We will not prefer Sellers posting higher prices than available elsewhere.
3.2. Price Updates
Sellers are required to update prices and offers promptly to reflect any changes in the market, ensuring that Plactive remains competitive with the best prices online.
3.3. Payouts
Pay outs will be made directly to the bank account provided during registration, subject to Plactive’s payment cycle (e.g., bi-weekly). Payouts will reflect the total sales amount minus applicable platform fees, payment processing charges, and any deductions for returns, refunds, or disputes.
4. Commission & Fees
4.1. Platform Fees
Plactive will charge a commission on each sale as outlined in the Seller’s fee structure. This fee will be deducted automatically from the sales amount.
4.2. Additional Charges
Additional charges, such as payment gateway fees, may apply and will be detailed in the Seller dashboard.
5. Shipping & Fulfilment
5.1. Shipping Responsibility
You are responsible for the timely packaging, shipping, and delivery of the products. You must provide accurate shipping information and track orders through Plactive’s system. Do not mention incorrect sizes and weight of the product. The final will be as per stated by the courier delivery partner.
5.2. Returns & Replacements
You must comply with Plactive’s return and refund policies, offering replacement or refunds for defective or incorrect products. Sellers are responsible for covering the cost of returns or replacements unless otherwise stated. By signing the agreement you confirm that you have read the Seller Order Return, Replacement and Refund Policy
6. Taxes
6.1. GST Compliance
If you are registered under the GST Act, you must provide your GSTIN and ensure your invoices comply with GST regulations. If you are not registered for GST, you must still comply with applicable tax regulations.
6.2. Tax Liability
You are responsible for determining, collecting, and remitting all applicable taxes from product sales, including GST or any other taxes, as required by law.
7. Customer Service & Support
7.1. Customer Inquiries
You are responsible for responding to customer inquiries related to your products promptly and professionally. Failure to do so may result in penalties or removal from the platform.
7.2. Dispute Resolution
If a customer files a dispute regarding a product, you must cooperate with Plactive’s Buyer Protection Program and comply with the resolution process. Refunds or other settlements may be deducted from future payouts. Please refer to the Dispute Policy.
8. Intellectual Property
8.1. Use of Trademarks
You grant Plactive the right to use your trademarks, logos, and product images for promotional purposes, including marketing and advertising on the platform.
8.2. Intellectual Property Rights
You affirm that all listed products do not infringe on any intellectual property rights, including copyrights, trademarks, or patents of third parties. Plactive is not liable for any claims arising from IP infringement. Please refer to Seller Terms and Condition for user policy.
9. Confidentiality & Data Protection
9.1. Confidential Information
You agree not to disclose any confidential information shared by Plactive for the purpose of conducting business on the platform.
9.2. Data Protection
You must comply with all applicable data protection laws in handling personal data of customers. Plactive will process customer data in compliance with its Privacy Policy.
10. Termination
10.1. Termination by Seller
You may terminate this Agreement by providing 30 days’ written notice to Plactive. Termination will not affect any ongoing transactions or obligations.
10.2. Termination by Plactive
Plactive reserves the right to terminate this Agreement or suspend your account at any time if you breach any terms of this Agreement or fail to comply with platform policies.
10.3. Zero Tolerance Policy for Children’s Safety
At Plactive, we maintain zero tolerance when it comes to the safety and well-being of children. We strictly prohibit the sale of products that may harm or endanger children, violate child protection laws, or fail to meet the highest safety standards. Any violation of this policy will result in immediate action, including the removal of the products, suspension of the seller’s account, and legal consequences if applicable. We take children’s safety with the utmost seriousness and will not compromise in any circumstance. Please refer to the Plactive Children Policy before signing.
11. Limitation of Liability
Plactive will not be liable for any indirect, incidental, or consequential damages arising from your use of the platform..
12. Governing Law & Jurisdiction
This Agreement will be governed by and construed in accordance with the laws of Jaipur Jurisdiction. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Jaipur Jurisdiction.
13. Amendments
Plactive reserves the right to amend this Agreement at any time. Sellers will be notified of any changes, and continued use of the platform after such changes will constitute acceptance of the amended terms.
